Job Description

Treasury Manager, Corporate Finance

PLANNED SEPARATION

Johnson & Johnson announced plans to separate its Orthopedics business to establish a standalone company operating as DePuy Synthes. The planned separation is anticipated to be completed within 12 to 18 months, subject to applicable legal requirements, employee representative consultations, regulatory approvals, and other customary conditions. If you accept this position, it is anticipated that, following completion of the transaction, you would become an employee of DePuy Synthes and be governed by its employment processes, programs, policies, and benefit plans. Details of any planned changes would be communicated at the appropriate time and subject to required consultation processes.

The Opportunity

DePuy Synthes is seeking a Treasury Manager, Corporate Finance to help build and operate the corporate finance capabilities of a global, standalone orthopedics company. Reporting to the Assistant Treasurer, this role will support capital structure and funding strategy, external and intercompany financing, credit-rating analysis, and executive decision support. The position combines hands-on transaction execution with financial modelling, governance, cross-functional leadership, and development of a small team. It offers direct exposure to the Treasurer, CFO, banks, rating agencies, and senior Finance leadership.

Key Responsibilities

Capital Structure, Funding and Markets

·   Build and maintain integrated funding, capital structure, liquidity, and refinancing models, including scenario and sensitivity analyses that support recommendations to senior leadership.

·   Support the structuring and execution of external financing transactions, including bank loans, revolving credit facilities, debt issuances, guarantees, and other debt-like instruments.

·   Monitor debt capacity, maturity profiles, covenant headroom, interest expense, market conditions, and key credit metrics; translate the analysis into clear financing recommendations.

·   Prepare decision materials for the Group Treasurer, CFO, management committees, and other governance forums, including WACC, leverage, liquidity, and capital allocation analyses.

·   Support engagement with rating agencies, lenders and relationship banks, including preparation of data books, presentations, and transaction materials.

Intercompany Finance and Legal-Entity Capital

·   Structure, execute, document, and monitor intercompany loans, guarantees, dividends, capital contributions, and other affiliate financing arrangements in partnership with Tax, Legal, Accounting, and local Finance teams.

·   Assess affiliate capital structures and recommend funding actions that improve liquidity, balance sheet efficiency, repatriation capacity, and resilience to country and financial risks.

·   Coordinate dividend and cash-repatriation planning, including required approvals, documentation, payment execution, and post-transaction reporting.

·   Maintain accurate records of financing instruments, key terms, approvals, and obligations, and ensure transactions are captured completely and accurately in Kyriba and related systems.

Treasury Strategy, Risk and Governance

·   Partner with Treasury, Tax, Accounting, FP&A, Investor Relations, Legal, Internal Audit, external auditors, banks, and local Finance teams to deliver compliant and executable solutions.

·   Embed robust controls, documented procedures, approval standards, and audit-ready evidence across corporate finance activities.

·   Support selected front-office activities, including cash management, investments, and foreign-exchange transactions, while maintaining appropriate segregation of duties.

Transformation and People Leadership

·   Lead process simplification, automation, data-quality, and reporting improvements across treasury models, dashboards, workflows, and systems.

·   Define and track meaningful treasury KPIs and deliver concise, decision-oriented reporting for management and governance committees.

·   Lead, coach, and develop 1-2 Treasury Analysts; set clear priorities, review work product, strengthen technical capabilities, and build a culture of ownership and continuous improvement.

·   Contribute to separation readiness and the build-out of scalable standalone treasury processes, policies, systems, controls, and governance.

Experience and Skills

Required Qualifications

·   Bachelor's degree in Finance, Accounting, Economics, Business, or a related field.

·   At least 5 years of progressive experience in corporate treasury, corporate finance, capital markets, investment banking, treasury advisory, transaction services, or a closely related field, including experience in a complex international environment.

·   Hands-on experience with funding, debt or credit analysis, capital structure, intercompany financing, liquidity analysis, or financial modelling.

·   Strong financial-statement fluency and ability to connect financing decisions to earnings, cash flow, leverage, credit metrics, tax, and accounting outcomes.

·   Advanced Excel and PowerPoint capabilities and experience translating complex analysis into concise executive recommendations.

·   Demonstrated ability to lead cross-functional workstreams, manage competing priorities under tight deadlines, and influence senior stakeholders.

·   People leadership or meaningful experience coaching and reviewing the work of junior professionals.

·   Sound judgement, high integrity, attention to detail, and a strong ownership mindset.

Preferred Qualifications

·   Master's degree, MBA, or another relevant advanced degree.

·   CTP, CFA, CPA, ACT qualification, or progress toward a relevant professional certification.

·   Experience executing debt capital markets, bank financing, refinancing, or rating-agency work.

·   Experience with Kyriba or another treasury management system, and with ERP, market-data, analytics, or visualization tools such as SAP, Bloomberg, or Power BI.

·   Experience in medical devices, healthcare, manufacturing, or another global, regulated industry.
